Distribution law

You have great products - the world only knows about them if you advertise and sell them. If, as a manufacturer, you sell your products directly to end customers via your own branches or your own online shop, you will probably only come into marginal contact with distribution law. In the case of indirect distribution via so-called sales intermediaries, for example commercial agents, contract dealers, distributors or franchisees, however, distribution law is essential in order to bring your goods to the market effectively and in the long term - ideally across borders.

As an area of law with parts of civil, commercial, competition, copyright and antitrust law, which is subject to influences under European law, many different aspects play a role. In order to avoid pitfalls, we are happy to support you in the legal implementation of your sales strategy. We draft and review, for example, authorised dealers, commercial agents and franchising contracts as well as delivery and purchasing conditions. The frequently used exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG) does not necessarily have to be to your advantage - we advise you on the optimal wording. And should you ever have to carry out a product recall, we will advise you on the best possible procedure and concrete implementation.

What we can do for you:

  • Design of
    •    Commercial agent contracts,
    •    Dealer contracts,
    •    Franchising contracts,

  • Review and formulate general terms and conditions of business, purchase, delivery or service,
  • Preparation of license agreements,
  • Advice in advance and during the implementation of product recalls.
